Terms of Service

These terms are a working draft pending legal review. They will be finalised before LPM accepts any payments.

1. About LPM

These Terms of Service (Terms) govern your access to and use of the LPM platform (Platform), a web-based software service operated by Lift Portfolio Management Pty Ltd ABN [TO BE INSERTED] (LPM, we, us, our).

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Definitions

AccountA registered user account on the Platform.
OrganisationThe entity (company, body corporate, strata scheme, or individual) associated with an Account.
PlatformThe LPM web application, APIs, and associated services available at liftportfoliomanagement.com.au.
SubscriptionA paid or trial plan granting access to the Platform under a recurring billing arrangement.
UserAny individual authorised by an Organisation to access the Platform under that Organisation's Account.
User ContentDocuments, data, and information uploaded to or created within the Platform by Users, including lift contracts, invoices, maintenance records, and inspection reports.
AI FeaturesFeatures that use artificial intelligence to extract, analyse, or summarise User Content, including invoice validation, document extraction, and equipment profiling.

3. Eligibility and Account Registration

You must be at least 18 years old and have authority to bind your Organisation to these Terms.

You agree to provide accurate, current, and complete information when creating an Account and to keep that information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us immediately at legal@liftportfoliomanagement.com.au if you become aware of any unauthorised use.

Each Account is associated with one Organisation. Multiple Users may be added to an Organisation's Account subject to the applicable plan limits.

4. Subscription and Billing

Access to the Platform requires a Subscription. Plans are offered on a monthly or annual basis and priced per active maintenance contract in your portfolio, with graduated volume discounts. Current pricing is available at liftportfoliomanagement.com.au/billing.

A free trial period of 30 days is offered on all plans. A valid payment method is required to start a trial. You will not be charged until the trial period ends.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through the billing portal accessible from within the Platform.

We reserve the right to change pricing at any time. We will provide at least 30 days' notice of any price changes via email to the address on your Account. Continued use of the Platform after the effective date of a price change constitutes acceptance.

All prices are in Australian dollars (AUD) and exclude GST unless otherwise stated. GST of 10% will be added at checkout for Australian customers.

Refunds are not available for partial billing periods, except where required by Australian Consumer Law.

5. Use of the Platform

We grant you a limited, non-exclusive, non-transferable licence to access and use the Platform solely for your Organisation's internal business purposes in accordance with these Terms.

You must not:

  • use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • attempt to gain unauthorised access to any part of the Platform or its infrastructure
  • reverse engineer, decompile, or disassemble any part of the Platform
  • resell, sublicense, or otherwise make the Platform available to third parties without our prior written consent
  • upload User Content that infringes any third party's intellectual property rights or contains malicious code
  • use the Platform to store or transmit sensitive personal information beyond what is reasonably necessary for lift portfolio management

6. AI Features and Outputs

The Platform includes AI Features that process User Content to extract data, validate invoices, generate equipment profiles, and provide analysis.

AI outputs are provided as informational tools only. They do not constitute professional legal, financial, engineering, or compliance advice. You are solely responsible for verifying the accuracy of any AI-generated output before acting on it.

We make no warranty that AI outputs are accurate, complete, or free from error. Factors including document quality, format, and content may affect extraction accuracy. Always review AI-extracted data before saving it to your records.

LPM is not liable for any loss or damage arising from your reliance on AI-generated outputs without independent verification.

7. User Content

You retain ownership of all User Content you upload to the Platform. By uploading User Content, you grant LPM a limited, non-exclusive licence to store, process, and use that content solely to provide the Platform services to you.

You represent and warrant that you have all necessary rights to upload User Content and that doing so does not breach any third-party rights, confidentiality obligations, or applicable law.

We do not use your User Content to train AI models or for any purpose other than providing the Platform to you.

Upon termination of your Account, we will retain your User Content for 30 days, after which it may be permanently deleted. You should export any data you wish to retain before cancelling your Account.

8. Data and Privacy

We collect and process personal information in accordance with our Privacy Policy available at liftportfoliomanagement.com.au/privacy.

The Platform uses third-party services including Clerk (authentication), Stripe (payments), UploadThing (file storage), and Anthropic (AI processing). Your use of the Platform is subject to the relevant terms of those service providers. We take reasonable steps to ensure these providers maintain appropriate data security standards.

We implement industry-standard security measures to protect your data. However, no system is completely secure and we cannot guarantee absolute security.

9. Intellectual Property

The Platform, including all software, design, trademarks, and content created by LPM, is owned by or licensed to LPM. Nothing in these Terms transfers any intellectual property rights to you.

You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent, except to the extent permitted by law.

10. Availability and Support

We aim to make the Platform available 24/7 but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, and circumstances beyond our control may result in temporary unavailability.

Support is provided via email at legal@liftportfoliomanagement.com.au. Response times vary by plan and are not guaranteed.

11. Warranties and Liability

To the extent permitted by law, LPM provides the Platform on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

Nothing in these Terms limits any rights you may have under the Australian Consumer Law (ACL). Where the ACL applies and cannot be excluded, our liability for a failure to comply with a consumer guarantee is limited to re-supplying the service or paying the cost of re-supply.

To the fullest extent permitted by law, LPM's total aggregate liability to you for any loss or damage arising from your use of the Platform is limited to the total fees paid by you to LPM in the 12 months preceding the claim.

LPM is not liable for any indirect, incidental, consequential, or punitive loss, including loss of revenue, profits, data, or business opportunity, even if advised of the possibility of such loss.

12. Indemnity

You agree to indemnify and hold harmless LPM and its officers, directors, employees, and contractors from any claims, losses, damages, and expenses (including reasonable legal fees) arising from:

  • your breach of these Terms
  • your use or misuse of the Platform
  • User Content you upload that infringes any third-party rights
  • your violation of any applicable law or regulation

13. Termination

You may cancel your Subscription and close your Account at any time through the billing portal.

We may suspend or terminate your Account immediately if you breach these Terms, fail to pay amounts due, or if we reasonably believe continued access poses a risk to the Platform or other users. We will provide notice where reasonably practicable.

On termination, your licence to use the Platform ends immediately. Sections relating to intellectual property, liability, indemnity, and governing law survive termination.

14. Variations

We may update these Terms at any time. We will provide at least 14 days' notice of material changes via email or a notice on the Platform. Continued use of the Platform after the effective date of changes constitutes acceptance. If you do not agree to the revised Terms, you must close your Account before the effective date.

15. General

These Terms are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of the courts of Queensland.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LPM regarding the Platform and supersede all prior agreements.
